1. Scope
These GTC apply to all contracts for IT consulting, software development and related services (“Services”) between BAEUMLER CONSULTING LLC, UIC [xxxxxxx], VAT BG[xxxxxxx], registered in Sofia, Bulgaria (“Contractor”), and the Client. Deviating terms of the Client are only binding if expressly agreed in writing.
2. Contractual Partner & Services

Services: as defined in individual statements of work, offers or project proposals.
3. Conclusion of Contract
A contract is concluded when the Client’s written order or acceptance of an offer by the Contractor is confirmed in writing. Verbal side agreements require written confirmation.
4. Performance & Cooperation
Contractor performs Services with professional care and to industry standards. Client must provide all necessary information, system access and timely feedback. Delays in Client cooperation extend delivery dates accordingly.
5. Fees & Payment
Fees are as set out in the offer or statement of work (hourly rate or fixed price). All fees exclude Bulgarian VAT. Invoices are due 14 days net from invoice date. On default, interest at 8 % p.a. above the Bulgarian National Bank base rate applies.
6. Expenses
Pre-approved expenses (e.g. travel, licences) will be invoiced separately.
7. Retention of Title & Deliverables
All code, documentation and deliverables remain Contractor’s property until full payment. Upon payment, Client receives a non-exclusive, perpetual right to use deliverables for its business purposes.
8. Confidentiality
Both parties shall keep all non-public information strictly confidential. This obligation survives termination indefinitely.
9. Data Protection
Contractor processes personal data only per EU GDPR and Bulgarian Personal Data Protection Act. Details governed by the parties’ Data Processing Agreement.
10. Warranty
Deliverables materially conform to agreed specifications for 12 months from acceptance. Client must notify defects in writing immediately. Contractor may remedy defects or provide replacements; further claims are excluded.
11. Force Majeure
Events beyond reasonable control (e.g. strikes, natural disasters, pandemics) suspend performance obligations for the duration of the disruption.
12. Term & Termination
Fixed-term contracts expire automatically upon completion. Either party may terminate service contracts without cause with 30 days’ written notice. Immediate termination for good cause (e.g. insolvency, material breach) is permitted.
13. Assignment & Set-Off
Client may assign claims or set off only with Contractor’s prior written consent.
14. Applicable Law & Jurisdiction
Bulgarian law (Law on Obligations and Contracts) applies, excluding the UN Sales Convention. Exclusive venue for disputes is Sofia City Court, Bulgaria.
15. Final Provisions
Amendments or supplements require written form. Should any provision be invalid, the remaining provisions remain effective; parties will replace the invalid provision with one achieving the same economic effect.
